Common Stock

We have entered into a Sales Agreement with The Benchmark Company, LLC, or Benchmark, dated February 10, 2025, as amended by that certain First Amendment to Sales Agreement dated February 6, 2026 (as amended, the “Sales Agreement”), relating to shares of our common stock, par value $0.0001 per share, offered by this prospectus. In accordance with the terms of the Sales Agreement, we may offer and sell shares of our common stock having an aggregate offering price of up to $3,500,000 subject to certain limitations, as described below, from time to time through or to Benchmark, acting as sales agent or principal.

Our common stock trades on The Nasdaq Capital Market under the symbol “MYSE.” On February 3, 2026, the last reported sale price of our common stock on The Nasdaq Capital Market was $1.85 per share.

Sales of our common stock, if any, under this prospectus may be made in sales deemed to be an “at the market offering” as defined in Rule 415(a)(4) promulgated under the Securities Act of 1933, as amended, or (the “Securities Act”). Benchmark is not required to sell any specific number or dollar amount of securities, but will act as sales agent or principal on a best efforts basis and use commercially reasonable efforts to sell on our behalf all of the shares of common stock requested to be sold by us, consistent with its normal trading and sales practices, on mutually agreed terms between us and Benchmark. There is no arrangement for funds to be received in any escrow, trust or similar arrangement.

Benchmark will be entitled to compensation at a fixed commission rate equal to 4.0% of the gross sales price per common share sold under the Sales Agreement; provided however, that if sales of common stock sold through Benchmark pursuant to the Sales Agreement exceeds $1,000,000 then the commission paid to Benchmark will be reduced to 3.0% of the aggregate gross proceeds we receive from each sale of our common stock sold through Benchmark pursuant to the Sales Agreement. In connection with the sale of our common stock on our behalf, Benchmark will be deemed to be an “underwriter” within the meaning of the Securities Act and the compensation of Benchmark will be deemed to be underwriting commissions or discounts. We have also agreed to provide indemnification and contribution to Benchmark with respect to certain liabilities, including liabilities under the Securities Act or the Securities Exchange Act of 1934, as amended or the Exchange Act.

As of the date of this prospectus the aggregate market value of our outstanding common stock held by non-affiliates, or our public float, was approximately $10,691,401 based on 3,989,329 shares of outstanding common stock held by non-affiliates and a per share price of $2.68, the closing price of our common stock on December 10, 2025 which is the highest closing price of our common stock on The Nasdaq Capital Market within the prior 60 days. Pursuant to General Instruction I.B.6 of Form S-3, in no event will we sell shares pursuant to this prospectus with a value of more than one-third of the aggregate market value of our common stock held by non-affiliates in any 12-month period, so long as the aggregate market value of our common stock held by non-affiliates is less than $75,000,000. We have not sold any securities pursuant to General Instruction I.B.6 of Form S-3 during the prior 12-calendar month period that ends on and includes the date of this prospectus supplement (excluding this offering) and, accordingly, may offer and sell additional shares of our common stock having an aggregate offering price of up to approximately $3,563,800 from time to time through Benchmark in accordance with the terms of the Sales Agreement. If our public float increases such that we may sell additional amounts under the Sales Agreement and this prospectus, we will file an amendment to the prospectus prior to making additional sales.

Overview

DatChat Messenger & Private Social Network

Our platform allows users to exercise control over their messages and posts, even after they are sent. Through our application, users can delete messages that they have sent, on their own device and the recipient’s device as well. There is no set time limit within which they must exercise this choice. A user can elect at any time to delete a message that they previously sent to a recipient’s device.

The application also enables users to hide secret and encrypted messages behind a cover, which messages can only be unlocked by the recipient and which are automatically destroyed after a fixed number of views or fixed amount of time. Users can decide how long their messages last on the recipient’s device. The application also includes a screen shot protection system, which makes it virtually impossible for the recipient to screenshot a message or picture before it gets destroyed. In addition, users can delete entire conversations at any time, making it like the conversation never even happened.

In addition to the foregoing, the application also provides users with the ability to connect via an encrypted live video chat that also is designed to prevent screenshots or screen grabs. The application integrates with iMessage, making private messages potentially available to hundreds of millions of users.

Myseum Social Media Platform

We recently launched our Myseum social media platform, an innovative social media platform that brings a fresh approach to digital media and content management, allowing users to create a digital legacy that can be easily shared today and with future generations. Backed by AI technology and proprietary software, the multi-tiered social media ecosystem enables individuals, families, and other groups to store and share digital content such as messages, photos, videos, and documents within a highly secure and private family library. Myseum allows users to create amazing albums and galleries for everyone to see, create special private and secure galleries with limited access, personalize a user’s newsfeed with updates from other Myseums and leave time released video messages for both now and future generations.

The Habytat

Prior to the acquisition of RPM, we developed and launched, in November 2022, the Habytat, a virtual space that blends real world and virtual realities into one, in real time, using emerging technology like virtual and augmented reality, to create a highly immersive 3D environment. We had further contemplated spinning-off our Habytat platform business into a new standalone public company pursuant to a distribution of the shares of our shareholders. As discussed above, following our acquisition of RPM in October 2024, we ceased our development of the Habytat platform and are evaluating ways to utilize the technology that had been developed by our subsidiary.

Recent Developments

Debt Forgiveness and Contribution Agreement

On December 11, 2025, we entered into a Debt Forgiveness and Contribution Agreement (the “Debt Forgiveness and Contribution Agreement”) with RPM Interactive, Inc., a Nevada corporation (“RPM”). Pursuant to the Debt Forgiveness and Contribution Agreement, we agreed to forgive and extinguish, without any payment or other consideration, an aggregate of $5,202,132 previously advanced by us to RPM. Darin Myman, our Chief Executive Officer and Chairman, served as President and as a member of the Board of Directors of RPM until its sale to Avalon GloboCare Corp. on December 12, 2025 as further discussed below.

Sale of its Minority Interest in RPM Interactive, Inc.

On December 12, 2025, we sold our approximately 34% ownership interest in RPM as part of a 100% acquisition of RPM by Avalon GloboCare Corp. (Nasdaq: ALBT) (“Avalon”). Under the terms of the acquisition, Avalon has agreed to issue 19,500 shares of Series E Non-Voting Convertible Preferred Stock to RPM’s stockholders, representing a total stated and liquidation value $19.5 million. Each share of Series E Preferred Stock carries a stated value of $1,000 and is convertible into shares of Avalon’s common stock at a $1.50 conversion price, subject to customary conditions. RPM has developed the Catch-Up Software-as-a-Service (SaaS)_platform, a system that intelligently sources relevant video clips, generates human-like AI commentary, creates an engaging on-screen avatar, and publishes finished content to all major platforms – all on an automated basis.

Launch of Picture Party by Myseum

On December 17, 2025, we announced the launch of Picture Party by Myseum, a new instant social networking and social sharing platform designed to address growing concerns around content control, security, and intentional digital connection. The platform was developed to capitalize on the widespread need for a more controlled and purposeful way to share photos and videos—one that solves persistent privacy and ownership challenges not adequately addressed by existing social media offerings.

Grant and Issuance of Patent

On February 3, 2026, the Company announced that it was granted and issued a new U.S. patent that further expands and strengthens its secure streaming and content sharing technology. U.S. Patent # 12,524,507, issued by the U.S Patent and Trademark Office (USPTO), is titled “Secure Web RTC Real Time Communications Service for Audio and Video Streaming Communications.”

Corporate Information

Myseum, Inc. was initially incorporated in Nevada on December 4, 2014 under the name “YssUp, Inc.” On March 4, 2015, an amendment to our articles of incorporation was filed with the Nevada Secretary of State, changing YssUp, Inc.’s name to “DatChat, Inc.” On September 22, 2016, amended and restated articles of incorporation were filed with the Nevada Secretary of State in order to, among other things, authorize the Company to issue preferred stock. On August 7, 2025, we filed a Certificate of Amendment to our Amended and Restated Articles of Incorporation with the Secretary of State of the State of Nevada to change the name of the Company to “Myseum, Inc.”

The exercise of outstanding stock options and warrants will result in further dilution of your investment.

This dilution would be due to the substantially lower price paid by some of our investors who purchased shares prior to this offering as compared to the assumed price offered to the public in this offering and the exercise of stock options granted to our employees, directors and consultants as well as the exercise of outstanding warrants and conversion of outstanding preferred stock. As a result of the dilution to investors purchasing shares in this offering, investors may receive significantly less than the purchase price paid in this offering, if anything, in the event of our liquidation. Further, because we expect we will need to raise additional capital to fund our future activities, we may in the future sell substantial amounts of common stock or securities exercisable or convertible into or exchangeable for common stock.

The actual number of shares we will issue under the Sales Agreement, at any one time or in total, is uncertain.

Subject to certain limitations in the Sales Agreement and compliance with applicable law, we have the discretion to deliver instruction to the Sales Agent to sell shares of our common stock at any time throughout the term of the Sales Agreement. The number of shares that are sold through the Sales Agent after our instruction will fluctuate based on a number of factors, including the market price of our common stock during the sales period, the limits we set with the Sales Agent in any instruction to sell shares, and the demand for our common stock during the sales period. Because the price per share of each share sold will fluctuate during this offering, it is not currently possible to predict the number of shares that will be sold or the gross proceeds to be raised in connection with those sales.

The common stock offered hereby will be sold in “at the market offerings,” and investors who buy shares at different times will likely pay different prices.

Investors who purchase shares in this offering at different times will likely pay different prices, and so may experience different levels of dilution, and different outcomes in their investment results. DILUTION

If you invest in our common stock in this offering, your ownership interest will be immediately diluted to the extent of the difference between the public offering price per share and the as adjusted net tangible book value per share after this offering. As of September 30, 2025, our net tangible book value was approximately $4.47 million, or $1.05 per share. RPM Interactive, Inc.

In October 2024, our majority owned subsidiary, Dragon Interact, Inc. (“Dragon”), entered into a Share Exchange Agreement with RPM Interactive, Inc., a Florida corporation (“RPM”), pursuant to which Dragon acquired 100% of the equity interests of RPM, including all assets of RPM in consideration for the issuance of 3,500,000 restricted shares of Dragon’s common stock. RPM’s assets included an artificial intelligence (“AI”) tool used for publishing AI-generated consumer gaming and podcasting/vodcasting applications and certain intellectual property. As part of the acquisition, Dragon has changed its corporate name to RPM Interactive, Inc. (“RPM Interactive”) and shifted its focus to developing AI-driven podcast and gaming technologies.

Following the acquisition, in January 2025, we returned 3,500,000 shares of the RPM Interactive common stock held by us to RPM Interactive, which shares were cancelled and are no longer outstanding on RPM Interactive’s stock ledger. Following these transactions, we hold 12,500,000 shares of the RPM Interactive’s common stock, or approximately 34% of its outstanding shares.

On December 12, 2025, we sold our approximately 34% ownership interest in RPM as part of a 100% acquisition of RPM by Avalon GloboCare Corp. (Nasdaq: ALBT) (“Avalon”). Under the terms of the acquisition, Avalon has agreed to issue 19,500 shares of Series E Non-Voting Convertible Preferred Stock to RPM’s stockholders, representing a total stated and liquidation value of $19.5 million. Each share of Series E Preferred Stock carries a stated value of $1,000 and is convertible into shares of Avalon’s common stock at a $1.50 conversion price, subject to customary conditions. RPM has developed the Catch-Up Software-as-a-Service (SaaS)_platform, a system that intelligently sources relevant video clips, generates human-like AI commentary, creates an engaging on-screen avatar, and publishes finished content to all major platforms – all on an automated basis.

The Habytat

Prior to the acquisition of RPM, we had developed and launched, in November 2022, the Habytat, a virtual space that blends real world and virtual realities into one, in real time, using emerging technology like virtual and augmented reality, to create a highly immersive 3D environment. We had further contemplated spinning-off our Habytat platform business into a new standalone public company pursuant to a distribution of the shares of the our shareholders. As discussed above, following our acquisition of RPM in October 2024, we ceased our development of the Habytat platform and are evaluating ways to utilize the technology that had been developed by our subsidiary.

Warrants

As of December 31, 2025, warrants to purchase up to 127,385 shares of our common stock were issued and outstanding.
