On September 18, 2024, we entered into a certain At The Market Offering Agreement (“ATM Agreement”), with Ladenburg Thalmann & Co. Inc. (“Ladenburg”) relating to shares of our common stock, $0.01 par value per share, offered by this prospectus supplement. In accordance with the terms of the ATM Agreement, we may offer and sell shares (the “Shares”) of our common stock having an aggregate offering price of up to $3,966,316, from time to time through Ladenburg, acting as our sales agent or principal.

The ATM Agreement provides that we may issue and sell through or to Ladenburg, as sales agent and/or principal, from time to time during the term of the ATM Agreement and on the terms set forth therein, up to the lesser of such number of shares of common stock, that does not exceed (a) the number or dollar amount of shares of common stock registered on our effective shelf registration statement on Form S-3 (File No 333-286489), pursuant to which the offering is being made, (b) the number of authorized but unissued shares of common stock (less the number of shares of common stock issuable upon exercise, conversion or exchange of any of our outstanding securities or otherwise reserved from our authorized capital stock), or (c) the number or dollar amount of shares of common stock that would cause us or the offering of the Shares to not satisfy the eligibility and transaction requirements for use of Form S-3, including, if applicable, General Instruction I.B.6 of Form S-3.

Sales of our common stock, if any, under this prospectus supplement may be made in sales deemed to be “at the market offerings” as defined in Rule 415(a)(4) promulgated under the Securities Act of 1933, as amended (the “Securities Act”). If authorized by us in writing, Ladenburg may also sell shares of our common stock in negotiated transactions at market prices prevailing at the time of sale or at prices related to such prevailing market prices. If we and Ladenburg agree on any method of distribution other than sales of shares of our common stock on or through the Nasdaq Capital Market (“Nasdaq”) or another existing trading market in the United States at market prices, we will file a further prospectus supplement providing all information about such offering as required by Rule 424(b) under the Securities Act. Ladenburg is not required to sell any specific number or dollar amount of securities but will act as a sales agent using commercially reasonable efforts consistent with its normal trading and sales practices, on mutually agreed terms between Ladenburg and us. There is no arrangement for funds to be received in any escrow, trust or similar arrangement.

The compensation to Ladenburg for sales of common stock sold pursuant to the ATM Agreement will be equal to 3.0% of the gross proceeds of any shares of common stock sold under the ATM Agreement, in addition to the reimbursement of certain expenses (see “Plan of Distribution”). In connection with the sale of the common stock on our behalf, Ladenburg will be deemed to be an “underwriter” within the meaning of the Securities Act and the compensation of Ladenburg will be deemed to be underwriting commissions or discounts. We have also agreed to provide indemnification and contribution to Ladenburg with respect to certain liabilities, including liabilities under the Securities Act or the Securities Exchange Act of 1934, as amended (the “Exchange Act”).

As of March 23, 2026, the aggregate market value of our outstanding common stock held by non-affiliates, or our public float, was approximately $18,572,023, which amount is based on 1,910,702 outstanding shares of common stock held by non-affiliates and a per share price of $9.72 on January 22, 2026, which was the highest closing sale price of our common stock on Nasdaq within 60 days of the filing date of this supplement. Accordingly, under the terms of the ATM Agreement, we may offer and sell pursuant to this prospectus supplement shares of common stock having an aggregate offering price of up to $3,966,316, from time to time to or through Ladenburg, acting as our sales agent or principal, subject to compliance requirements to use of Form S-3, including General Instruction I.B.6 of Form S-3. We have sold approximately $2,224,357 of securities pursuant to General Instruction I.B.6. of Form S-3 during the 12-calendar month period ending on and including the date of this supplement.

We are filing this supplement to update the maximum amount of shares that we are eligible to sell pursuant to the ATM Agreement under General Instruction I.B.6. As a result of these limitations, as of the date of this supplement, shares of common stock having an aggregate gross sales price of up to $3,966,316 remain available for offer and sale under the ATM Agreement.

If our public float subsequently increases such that we could sell additional amounts of our common stock pursuant to General Instruction I.B.6. of Form S-3, we will file another prospectus supplement prior to making any sales of common stock under the ATM Agreement in excess of the amount of common stock covered by this prospectus supplement.

We are an “emerging growth company” and “smaller reporting company” as defined under U.S. federal securities laws and are subject to reduced public company reporting requirements. Overview of our Company

Intelligent Bio Solutions Inc. and its wholly owned Delaware subsidiary, GBS Operations Inc., were each formed on December 5, 2016, under the laws of the state of Delaware. Our Australian subsidiary, Intelligent Bio Solutions (APAC) Pty Ltd, was formed on August 4, 2016, under the laws of New South Wales, Australia and was renamed to Intelligent Bio Solutions (APAC) Pty Ltd on January 6, 2023. On October 4, 2022, we acquired Intelligent Fingerprinting Limited (“IFP”), a company registered in England and Wales (the “IFP Acquisition”). Our headquarters are in New York City.

We are a medical technology company focused on developing and delivering intelligent, rapid, non-invasive testing and screening solutions. We operate globally with the objective of providing innovative and accessible solutions that improve the quality of life.

Our Testing Platforms

Intelligent Fingerprinting Platform.

Our current active product is the Intelligent Fingerprinting Platform, which consists of the proprietary portable platform that analyzes fingerprint sweat using a one-time cartridge and portable handheld reader. The flagship product from this platform, which is commercially available in certain countries outside of the United States, is the Intelligent Fingerprinting Drug Screening System (the “IFP System” or “IFP Products”), a two-part system that consists of non-invasive, fingerprint sweat-based diagnostic testing products designed to detect drugs of abuse including opiates, cocaine, methamphetamines, benzodiazepines, cannabis, methadone, and buprenorphine. The IFP System comprises a small, tamper-evident drug screening cartridge onto which ten fingerprint sweat samples are collected in under a minute before the portable analysis unit provides an on-screen result in under ten minutes. Samples collected with a confirmatory kit can also be sent to a third-party laboratory service provider for confirmation testing. Customers include safety-critical industries such as construction, transportation and logistics, mining, manufacturing, engineering, drug treatment organizations in the rehabilitation sector, and judicial organizations.

We plan to bring the IFP System to new markets and grow within existing markets concentrating on:

	●	increasing market share across the United Kingdom and mainland Europe;
	●	commencing sales and distribution throughout Australia, New Zealand and other countries in the Asia Pacific Region (“APAC Region”), and establishing the infrastructure and satisfying the regulatory requirements needed to do so;
	●	continue to work on an updated 510(k) premarket notification for expansion into United States markets, beyond the Forensic Use Only market that require FDA clearance, followed by the planned initial launch of our opiate test system for codeine and then for additional drugs following such additional FDA clearance as may be required;
	●	initiating research aimed at broadening the capabilities of the IFP System to test for additional drugs and indications, facilitating the expansion of the platform into point-of-care medical testing;
	●	expanding the IFP System into new customer segments, including major sporting organizations, law enforcement, and commercial airlines; and
	●	developing a strategic network of distributors with established customer bases throughout the APAC Region, Europe and North America to distribute the IFP Products.

Biosensor Platform.

Under the terms of an Amended and Restated License Agreement dated September 12, 2019 (the “BPT License Agreement”), between us and Life Science Biosensor Diagnostics Pty Ltd (“LSBD” or “Licensor”), we held an exclusive license in the APAC Region to the Licensor’s proprietary rights to the biosensor technology (the “Biosensor IP”) used in the biosensor platform we refer to as the Biosensor Platform Technology (“BPT”), or simply the “Biosensor Platform”. This platform consists of a small, printable modified organic thin-film transistor strip designed to detect multiple biological analytes by substituting the top enzyme layer of the biosensor to suit each analyte. We refer to products that use the BPT as the “Licensed Products”. This platform technology has the potential to develop a range of Point of Care Tests. We understand that following the commencement of the liquidation of LSBD on July 21, 2023, the intellectual property we licensed from LSBD (the “LSBD IP”), which includes the Biosensor IP, has reverted back to the University of Newcastle. Following our discussions with the University of Newcastle, it is our understanding that the University of Newcastle cannot finalize licensing of the LSBD IP until the liquidation, by virtue of the status of LSBD being under external administration, is completed. As of the date of this prospectus supplement, the ASIC database maintained by the Australian Securities and Investments Commission (ASIC) indicates that LSBD (Australian Company Number 613 279 771) is under the status of a company being under external administration. We do not know the timeline for when LSBD’s liquidation will be complete or when LSBD’s status will change, and accordingly, we do not expect any updates or finalization of any license terms until this occurs. As a result, further development of the BPT has been postponed until we are able to finalize appropriate licensing arrangements related to the BPT.

Our Products.

Intelligent Fingerprinting Drug Screening System

Our wholly owned subsidiary, Intelligent Fingerprinting Limited (IFP), is the developer and owner of our proprietary and commercially available portable drug screening system designed to detect common drugs of abuse through fingerprint sweat. The IFP System consists of a small, tamper-evident drug screening cartridge that collects ten fingerprint sweat samples, which are then analyzed in a portable handheld reader for precise on-screen results in minutes. This system eliminates the need for invasive and unpleasant urine, saliva, or blood collection to test for substance abuse. The ten samples are collected in under a minute before the portable analysis unit provides an on-screen result in under ten minutes. The IFP System is currently designed to detect opioids, cocaine, methamphetamines, benzodiazepines, cannabis, methadone, and buprenorphine. In addition, samples collected via confirmatory kits can be sent to a third-party laboratory service provider for confirmation testing.

Intelligent Fingerprinting Drug Screening System Functionality

The IFP System consists of single-use, tamper-evident Intelligent Fingerprinting Cartridges for sample collection and the Intelligent Fingerprinting DSR-Plus portable analysis unit. The cartridge is inserted into the DSR-Plus reader and, within 10 minutes, results are displayed, with options to print and save anonymized data for further use. Results can also be downloaded to a computer for, among other things and to the extent legally permissible, integration with employee medical records or general statistical analysis.

History and Background of the Intelligent Fingerprinting Drug Screening System

Founded in 2007, IFP is a spin-out company from the University of East Anglia (UEA) and is based in Cambridge, England. IFP developed and commercialized the patented Intelligent Fingerprinting DSR-Plus reader and cartridge system, which has been predominantly sold in the United Kingdom, mainland Europe and the Middle East. IFP continues to manufacture the cartridges for the IFP System in its factory in Cambridge, England.

Implications of Being an Emerging Growth Company

As a company with less than $1.235 billion in revenues during our last fiscal year, we qualify as an emerging growth company as defined in the Jumpstart Our Business Startups Act (“JOBS Act”) enacted in 2012. As an emerging growth company, we expect to take advantage of reduced reporting requirements that are otherwise applicable to public companies. These provisions include, but are not limited to:

	●	being permitted to present only two years of audited financial statements, in addition to any required unaudited interim financial statements, with correspondingly reduced “Management’s Discussion and Analysis of Financial Condition and Results of Operations”;

We may use these provisions until the last day of our fiscal year following the fifth anniversary of the completion of our initial public offering in December 2020. However, if certain events occur prior to the end of such five-year period, including if we become a “large accelerated filer,” our annual gross revenues exceed $1.235 billion or we issue more than $1.0 billion of non-convertible debt in any three-year period, we will cease to be an emerging growth company prior to the end of such five-year period. The JOBS Act provides that an emerging growth company can take advantage of an extended transition period for complying with new or revised accounting standards. We may not be able to satisfy the continued listing requirements of the Nasdaq Capital Market in order to maintain the listing of our common stock.

On December 15, 2025, we received a notice letter (the “Bid Price Notice”) from the Listing Qualifications Department of Nasdaq notifying us that because the closing bid price per share for Company common stock was below $1.00 for 30 consecutive business days preceding the date of the Bid Price Notice, we did not meet the $1.00 per share minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) (the “Bid Price Rule”).

In accordance with Nasdaq Listing Rule 5810(c)(3)(A), we were provided with an initial period of 180 calendar days, or until June 15, 2026 (the “Compliance Period”), to regain compliance with the Bid Price Rule. In order to regain compliance with the Bid Price Rule, the Company effected a one-for-ten reverse stock split of its issued and outstanding shares of common stock on December 15, 2025 (the “2025 Reverse Stock Split”), with trading commencing on a split-adjusted basis at the open of trading on December 16, 2025.

On January 7, 2026, we received written notification from Nasdaq notifying us that the Company had regained compliance with the Bid Price Rule as a result of the closing bid price of Company common stock being at $1.00 per share or greater for the prior 14 consecutive business days (from December 16, 2025, to January 6, 2026). Accordingly, the Company is now in compliance with the Bid Price Rule and Nasdaq considers the matter closed.

Although the 2025 Reverse Stock Split brought the price of our common stock back above $1.00 per share in order to meet the requirements for the continued listing of our common stock on the Nasdaq Capital Market, there can be no assurance that the closing bid price of our common stock will remain at or above $1.00 following the 2025 Reverse Stock Split. Overview of our Company

Intelligent Bio Solutions Inc. and its wholly owned Delaware subsidiary, GBS Operations Inc., were each formed on December 5, 2016, under the laws of the state of Delaware. The Company’s Australian subsidiary, Intelligent Bio Solutions (APAC) Pty Ltd, was formed on August 4, 2016, under the laws of New South Wales, Australia and was renamed to Intelligent Bio Solutions (APAC) Pty Ltd on January 6, 2023. On October 4, 2022, INBS acquired Intelligent Fingerprinting Limited (“IFP”), a company registered in England and Wales (the “IFP Acquisition”). The Company’s headquarters are in New York, New York.

Intelligent Bio Solutions Inc. is a medical technology company focused on developing and delivering intelligent, rapid, non-invasive testing and screening solutions. The Company operates globally with the objective of providing innovative and accessible solutions that improve the quality of life.

Our Testing Platforms

Intelligent Fingerprinting Platform: The Company’s current active product is the Intelligent Fingerprinting Platform, which consists of the proprietary portable platform that analyzes fingerprint sweat using a one-time cartridge and portable handheld reader. The flagship product from this platform, which is commercially available in certain countries outside of the United States, is the Intelligent Fingerprinting Drug Screening System (the “IFP System” or “IFP Products”), a two-part system that consists of non-invasive, fingerprint sweat-based diagnostic testing products designed to detect drugs of abuse including opiates, cocaine, methamphetamines, benzodiazepines, cannabis, methadone, and buprenorphine. The IFP System comprises a small, tamper-evident drug screening cartridge onto which ten fingerprint sweat samples are collected in under a minute before the portable analysis unit provides an on-screen result in under ten minutes. Samples collected with a confirmatory kit can also be sent to a third-party laboratory service provider for confirmation testing. Customers include safety-critical industries such as construction, transportation and logistics, mining, manufacturing, engineering, drug treatment organizations in the rehabilitation sector, and judicial organizations.

We plan to bring the IFP System to new markets and grow within existing markets concentrating on:

	●	increasing market share across the United Kingdom and mainland Europe;
	●	commencing sales and distribution throughout Australia, New Zealand and other countries in the Asia Pacific Region (“APAC Region”), and establishing the infrastructure and satisfying the regulatory requirements needed to do so;
	●	continue to work on 510(k) pre-market notification submitted on December 2024 for expansion into United States markets that require FDA clearance, followed by the planned initial launch of our opiate test system for codeine and then for additional drugs following such additional FDA clearance as may be required;
	●	initiating research aimed at broadening the capabilities of the IFP System to test for additional drugs and indications, facilitating the expansion of the platform into point-of-care medical testing;
	●	expanding the IFP System into new customer segments, including major sporting organizations, law enforcement, and commercial airlines; and
	●	developing a strategic network of distributors with established customer bases throughout the APAC Region, Europe and North America to distribute the IFP Products.

Biosensor Platform: Under the terms of an Amended and Restated License Agreement dated September 12, 2019 (the “BPT License Agreement”), between the Company and Life Science Biosensor Diagnostics Pty Ltd (“LSBD” or “Licensor”), the Company held an exclusive license in the Asia Pacific Region (“APAC Region”) to the Licensor’s proprietary rights to the biosensor technology (the “Biosensor IP”) used in the biosensor platform we refer to as the Biosensor Platform Technology (“BPT”), or simply the “Biosensor Platform”. This platform consists of a small, printable modified organic thin-film transistor strip designed to detect multiple biological analytes by substituting the top enzyme layer of the biosensor to suit each analyte. We refer to products that use the BPT as the “Licensed Products”. This platform technology has the potential to develop a range of Point of Care Tests. We understand that following the appointment of a liquidator to LSBD on July 21, 2023, the Biosensor IP we licensed from LSBD has reverted back to the University of Newcastle. Following our ongoing discussions with the University of Newcastle, it is the Company’s understanding that the University of Newcastle cannot finalize licensing of the Biosensor IP until the liquidation of LSBD is complete. As the timeline for the completion of LSBD’s liquidation is unknown, the Company does not expect any updates or finalization of any license terms until this occurs. As a result, further development of the BPT has been postponed until we are able to finalize licensing arrangements related to the BPT.

Intelligent Fingerprinting Drug Screening System

Intelligent Fingerprinting Drug Screening System Functionality

The IFP System consists of single-use, tamper-evident Intelligent Fingerprinting Cartridges for sample collection and the portable Intelligent Fingerprinting DSR-Plus portable analysis unit. The cartridge is inserted into a reader, and within 10 minutes, the results are displayed, with options to print and save anonymized data for further use. Results can also be downloaded to a computer and be used for, among other things, and to the extent legally permissible, integration with employee medical records or for general statistical analysis.

History and Background of the Intelligent Fingerprinting Drug Screening System

Founded in 2007, IFP is a spin-out company from the University of East Anglia (UEA) and is based in Cambridge, England. IFP developed and commercialized the patented Intelligent Fingerprinting DSR-Plus Reader and Cartridge system, which has been predominantly sold in the United Kingdom, mainland Europe and the Middle East. IFP continues to manufacture the cartridges for the IFP System in its factory in Cambridge, England.

The following is a general description of our outstanding warrants. Duration and Exercise Price.

As of August 21, 2025, there were 7,154,982 shares of common stock issuable upon the exercise of outstanding warrants with a weighted-average exercise price of $10.99 per share and that terminate between 2025 and 2031.

Our Outstanding Warrants are generally either immediately exercisable or become exercisable six months from the issue date (subject to shareholder approval in certain cases, which has already been obtained in each instance) and will generally expire between one and a half years and five and a half years from their respective issuance dates.

The exercise price and number of shares of common stock issuable upon exercise is subject to appropriate adjustment in the event of stock dividends, stock splits, reorganizations or similar events affecting our shares of common stock and the exercise price.

Certain of our Outstanding Warrants are subject to a warrant agency agreement between us and Continental Stock Transfer & Trust Company, as warrant agent. These warrants were issued in book-entry form and are initially represented by one or more global warrants deposited with the warrant agent as custodian on behalf of The Depository Trust Company (“DTC”), registered in the name of Cede & Co., a nominee of DTC, or as otherwise directed by DTC

Exercisability.

The Outstanding Warrants are exercisable, at the option of the holder, in whole or in part, by delivering to us a duly executed exercise notice accompanied by payment in full for the number of shares of common stock purchased upon such exercise (except in the case of a cashless exercise, as discussed below).

Certain Outstanding Warrants impose a beneficial ownership limitation on the warrant holder. Holders of such warrants (together with its affiliates) may not exercise any portion of the Outstanding Warrants to the extent that the holder would own more than 4.99% (or, at the election of the holder, 9.99%) of the outstanding shares of common stock immediately after exercise. However, upon notice from the holder to us, the holder may decrease or increase the holder’s beneficial ownership limitation, which may not exceed 9.99% of the number of outstanding shares of common stock immediately after giving effect to the exercise, as such percentage ownership is determined in accordance with the terms of the Outstanding Warrants, provided that any increase in the beneficial ownership limitation will not take effect until 61 days following notice to us.

No fractional shares will be issued in connection with the exercise of a Outstanding Warrants. In lieu of fractional shares, we will either pay the holder an amount in cash equal to the fractional amount multiplied by the exercise price or round up to the next whole share.

Cashless Exercise.

If at the time a holder exercises its Outstanding Warrants, a registration statement registering the issuance of the shares of common stock underlying the Outstanding Warrants under the Securities Act is not then effective or available and an exemption from registration under the Securities Act is not available for the issuance of such shares, then in lieu of making the cash payment otherwise contemplated to be made to us upon such exercise in payment of the aggregate exercise price, the holder may elect instead to receive upon such exercise (either in whole or in part) the net number of shares of common stock determined according to a formula set forth in the respective Outstanding Warrant.

Transferability.

Subject to applicable securities laws, an Outstanding Warrant may be transferred at the option of the holder upon surrender of the Outstanding Warrants to us along with the appropriate instruments of transfer. Certain of the Outstanding Warrants have additional transfer restrictions, as described below.

Exchange Listing.

There is no trading market available for the Outstanding Warrants on any securities exchange or nationally recognized trading system. We do not intend to list the Outstanding Warrants on any securities exchange or nationally recognized trading system.

Rights as a Stockholder.

Except as otherwise provided in the Outstanding Warrants or by virtue of such holder’s ownership of our shares of common stock, the holders of the Outstanding Warrants do not have the rights or privileges of holders of our shares of common stock, including any voting rights, until the holder exercises their Outstanding Warrants.

Fundamental Transaction.

In the event of a fundamental transaction (as defined the respective warrants), which includes any merger, consolidation, sale of assets, or change in control, holders of the Outstanding Warrants will generally receive the same form of consideration as common stockholders, based on the number of shares they would have received if they had exercised their warrants immediately before the transaction. The Outstanding Warrants generally require the successor entity to assume the warrants and/or related obligations and/or issue new securities to preserve their economic value. With the exception of certain warrants issued in 2023 and earlier, the Outstanding Warrants also allow holders to elect to receive a cash payout equal to the Black-Scholes value of the warrants, but only if approved by the company as part of the transaction.

Material Terms of Certain Outstanding Warrants.

Representative, Placement Agent and Underwriter Warrants - To the extent we issued warrants to a representative, placement agent or underwriter as compensation in a transaction, such warrants have substantially similar terms as the Outstanding Warrants sold in such transaction (for which the above general description applies), but differ primarily in terms of exercise price, exercise period and may include lock-up provisions.

LSBD Warrants – These warrants are not transferable.

Series B Warrants – These Warrants include a cashless exercise provision pursuant to which upon the earlier of (i) 10 trading days from the issuance date of the Series B Warrants or (ii) the time when $10.0 million of volume is traded in our common stock, if the volume weighted average price of our common stock on any trading day on or after the date of issuance fails to exceed the exercise price of the Series B Warrants, the Series B Warrants can be exercised on a “cashless” basis for shares of common stock on a one-for-1/240 basis (as adjusted for reverse stock splits), regardless of whether the market price of our common stock is above the exercise price

Series D Warrants – These warrants (i) may not be offered, sold or transferred except in accordance with Regulation S promulgated under the Securities Act and (ii) will be automatically exercised via cashless exercise if unexercised by the termination date.

March 2023 Warrants - These warrants include (i) an alternate cashless exercise option pursuant to which the holder has the right to receive an aggregate number of shares of common stock on a one-for-1/12 basis (as adjusted for reverse stock splits) subject to adjustment and (ii) an automatic cashless exercise provision on the expiration date, meaning that if unexercised by the termination date.

Series E Warrants - These warrants, included a one-time reset to a price equal to the lesser of (i) the then exercise price and (ii) 90% of the five-day volume weighted average price for the five trading days immediately following the date the Company effects a reverse stock split. As a result of the January 2024 Reverse Stock Split, the exercise price of the Series E Warrants was reset to $2.9232 per share. The Series E Warrants are no longer subject to a reset upon a reverse stock split.

Series H-2 Warrants -These warrants include a milestone-based expiration acceleration provision tied to FDA clearance of the Intelligent Fingerprinting Drug Screening System.

Series I Warrants – These warrants are pre-funded, requiring only a nominal exercise price of $0.01 per share, and they do not expire, remaining exercisable until fully exercised.

Series J Warrants – The Series J Warrants have an initial exercise price equal to $1.90 per share and will expire five and one-half (5.5) years from the date of issuance. The Series J Warrants will be exercisable upon the Company’s receipt of stockholder approval of the exercise of the Series J Warrants into an aggregate of up to 4,046,456 shares of common stock.

We are currently authorized to issue 10,000,000 shares of preferred stock, par value $0.01. Of our preferred stock, 4,012,276 shares have been designated Series C Convertible Preferred Stock and 5,728,723 shares have been designated Series E Convertible Preferred Stock.
