Pre-Funded Warrants to Purchase 260,000 Shares of Common Stock

We are offering 421,553 shares of our common stock, par value $0.00001 per share, at a public offering price of $5.81 per share to certain institutional investors pursuant to this prospectus supplement and the accompanying prospectus. We are also offering Pre-Funded Warrants (as defined below) to purchase 260,500 shares of our common stock to such institutional investors so that such investors will not beneficially own more than 4.99% of our outstanding common stock immediately following the consummation of this offering, in lieu of the common stock that would otherwise result in ownership in excess of 4.99% (or, at the election of the purchaser, 9.99%) of our outstanding common stock. The public offering price for each prefunded warrant (a “Pre-Funded Warrant”) will equal the price per share minus $0.00001, and the exercise price of each Pre-Funded Warrant will be $0.00001 per share of our common stock. The Pre-Funded Warrants offered hereby will be immediately exercisable and may be exercised at any time until exercised in full. We are also offering the shares of our common stock that are issuable from time to time upon exercise of the Pre-Funded Warrants. We refer to the shares of our common stock, the Pre-Funded Warrants and the shares of our common stock issued or issuable upon exercise of the Pre-Funded Warrants, collectively, as the “Securities.”

Our common stock trades on the Nasdaq Capital Market (“Nasdaq”) under the symbol “HCTI.” The last reported sale price of our common stock on Nasdaq on February 26, 2026 was $5.02 per share.

The securities will be offered at a fixed price and are expected to be issued in a single closing. We expect this offering to be completed not later than one business day following the commencement of sales in this offering and we will deliver all securities to be issued in connection with this offering delivery versus payment/receipt versus payment upon receipt of investor funds received by us. Accordingly, neither we nor the placement agent have made any arrangements to place investor funds in an escrow account or trust account since the placement agent will not receive investor funds in connection with the sale of the securities offered hereunder.

We have retained D. Boral Capital LLC, referred to herein as “D. Boral” or the “placement agent,” to act as our exclusive placement agent in connection with the securities offered by this prospectus supplement and the accompanying prospectus. The placement agent has no obligation to buy any of the securities from us or to arrange for the purchase or sale of any specific number or dollar amount of securities. We have agreed to pay the placement agent the placement agent fees set forth in the table below, which assumes that we sell all of the securities we are offering. See “Plan of Distribution” beginning on page S-11 of this prospectus supplement for more information regarding these arrangements.

Recent Developments

2026 Reverse Stock Split. On February 10, 2026, we effected a one-for-sixty (1:60) reverse stock split of all issued and outstanding shares of our common stock effective as of 12:01 a.m. Eastern Time on February 10, 2026 (the “Reverse Stock Split”). As a result of the Reverse Stock Split, every sixty (60) shares of issued and outstanding common stock combined into one (1) validly issued, fully paid and nonassessable share of Common Stock. Proportional adjustments have also been made to the Company’s outstanding warrants, stock options, and convertible securities, as well as to the reserves available pursuant to the terms of the Company’s 2020 Equity Incentive Plans to reflect the Reverse Stock Split, in each case, in accordance with the terms thereof.

The Reverse Stock Split reduced the number of shares of Common Stock issued and outstanding from 45,417,091 to 756,984 shares of Common Stock. The number of authorized shares of Common Stock did not change by the Reverse Stock Split.

2026 Special Meeting. On February 10, 2026, at the virtual 2026 Special Stockholders Meeting of the Company, our shareholders approved a proposal to approve an amendment to our Amended and Restated Certificate of Incorporation to effect a reverse split of our issued and outstanding shares of common stock, at a specific ratio, ranging from one-for-two (1:2) to one-for-one hundred (1:100), with the exact ratio within such range to be determined by the Board of Directors of the Company.

Teyame Acquisition. On January 22, 2026, we (along with our subsidiary, Teyame AI Holdings Inc., a Delaware corporation) entered into a Share Purchase Agreement with Teyame A.I. LLC (“Teyame”), in connection with a proposed acquisition by the Company of 100% of the equity interests of Teyame 360 S.L. and Datono Mediacion S.L., each a company incorporated in Spain (collectively, the “Acquired Companies”). The acquisitions closed on January 29, 2026, with a deemed effective time of 12:01 a.m. Eastern Time on January 1, 2026.

2025 Special Meeting. On November 28, 2025, at the virtual 2025 Special Stockholders Meeting of the Company, our shareholders approved a proposal to approve, for purposes of Nasdaq Listing Rule 5635(d), issuances of the Company’s securities that are completed during the period from November 28, 2025 until three months thereafter that are in the aggregate up to $70 million (“Future Issuances”), as long as each Future Issuance is within the Nasdaq Parameters.

Private Placement. On November 20, 2025, we entered into a Securities Purchase Agreement (“Purchase Agreement”) with certain institutional investors to issue 20% original issue discount senior unsecured convertible promissory notes in an aggregate original principal amount of up to $15,000,000, convertible into shares of our common stock. The closing of the first tranche was consummated on November 20, 2025, and we issued the initial Note for an aggregate original principal amount of $7,500,000.

At-the market Facility. On November 18, 2025, the Company entered into a Sales Agreement with Spartan Capital Securities, LLC (“Spartan”), to establish an “at the market offering” program to offer and sell common stock of the Company up to an aggregate of $20,000,000 of common stock (subject to limitations).

Annual Meeting. On November 7, 2025, at the virtual annual meeting of shareholders (the “Annual Meeting”), our shareholders: (i) re-elected our four (4) directors to serve a one (1) year term; and (ii) ratified the appointment SRCO Professional Corporation, Chartered Professional Accountants (“SRCO”) as the Company’s independent registered public accounting firm for the year ending December 31, 2025.

Warrant Inducement. On October 2, 2025, we entered into a warrant inducement letter (the “Inducement Agreement”) with certain holders (the “Holders”) of the Company’s warrants to purchase shares of our common stock, issued in a private placement offering that closed on February 28, 2025 (the “PIPE Warrants”). Pursuant to the Inducement Agreement, the Holders of the PIPE Warrants agreed to exercise for cash the PIPE Warrants to purchase an aggregate of up to 1,429,528 shares of our common stock, at an exercise price of $2.00 per share, which was reduced from $20.916 per share. The transactions contemplated by the Inducement Agreement (the “Warrant Inducement”) were consummated on October 2, 2025, October 3, 2025, and October 8, 2025 (together the “Closing Date”). The Company received aggregate gross proceeds of approximately $2.85 million in the Warrant Inducement, before deducting advisory fees and other expenses payable by the Company. In consideration of the Holders’ immediate exercise of the PIPE Warrants in accordance with the Inducement Agreement, we issued to the Holders warrants to purchase up to 1,429,528 shares of Common Stock at an exercise price of $3.00 per share (the “October 2025 Warrants”). We also issued warrants to purchase up to 28,590 shares of our common stock at an exercise price of $3.00 per share (the “FA Warrants”) to the financial advisor to the Warrant Inducement.

We offer two proprietary software platforms, CloudEz and DataEz, for cloud transformation, automation, data management, security and data governance, and clinical and non-clinical operations management.
