Pursuant to this prospectus supplement and the accompanying prospectus, we are offering 11,067,547 American Depositary Shares, or ADSs, directly to selected investors. Each ADS represents two of our common shares, par value US$0.01 per share. For a more detailed description of the ADSs, see the sections entitled “Description of Our Securities We Are Offering” beginning on page S-14 of this prospectus supplement, and “Description of American Depositary Shares” beginning on page 48 of the accompanying prospectus.

Our ADSs are traded on The Nasdaq Capital Market, or Nasdaq, under the symbol “AACG”. As of September 18, 2025, the last reported sale price for our ADSs was US$2.5125 per ADS. As of that date, the aggregate market value of our outstanding voting and non-voting common equity held by non-affiliates was approximately US$8,854,039 based on 63,544,922 shares of our outstanding common shares, of which approximately 21,143,976 shares were held by non-affiliates. Pursuant to General Instruction I.B.5. of Form F-3, in no event will we sell the securities covered hereby in a public primary offering with a value exceeding more than one-third of the aggregate market value of our voting and non-voting common equity held by non-affiliates in any 12-month period so long as the aggregate market value of our outstanding voting and non-voting common equity held by non-affiliates remains below US$75,000,000. During the 12 calendar months prior to and including the date of this prospectus supplement, we have not offered or sold any securities pursuant to General Instruction I.B.5 of Form F-3.

Under our fourth Amended and Restated Memorandum and Articles of Association, our authorized share capital is US$5,000,000, divided into 500,000,000 common shares, par value US$0.01 per share. Our common shares are not available to the market; rather, our ADSs are traded on The Nasdaq Capital Market.

On November 17, 2025, the Company entered into a subscription agreement (the “Subscription Agreement”) with three investors (the “Investors” and each an “Investor”) for the sale of an aggregated 11,067,547 ADSs at a purchase price of US$0.8 per ADS, for aggregate gross proceeds of US$8,854,039.

We estimate the total expenses of this offering will be approximately US$0.2 million. Assuming the offering is closed pursuant to the Subscription Agreement, the net proceeds to us from this offering will be approximately US$ 8.6 million. We expect to deliver the ADSs to the Investors on the closing date determined in accordance with the Subscription Agreement.

Overview

Our Business

We are an international educational services provider focusing on providing quality international educational experiences related to the cultivation and improvement of students’ creativity. Currently, our principal product and service are portfolio training services which we provide to students in China who are interested in studying art overseas. We believe that we are one of the leading players in the portfolio training market in many regards, including geographic coverage, product breadth and student enrollment, among others. To achieve our one-stop service strategy, we also provide research-based learning services, overseas study counselling services, in-school art classes through cooperation with high schools and training organizations, and other educational services to our students. We have successfully helped thousands of students in China gain entry into art universities and colleges in the U.S., UK, Europe, Japan, Australia and other countries, among which quite some have gained entry into top art universities and colleges in such countries.

Currently, our products and services mainly include the following:

Portfolio Training Services. Overseas art universities and colleges typically require a practical art portfolio as part of the application process, which is a collection of art work that shows how a candidate’s skills and ideas have developed over a period of time and helps universities and colleges evaluate the candidate’s potential. We provide customized and systematic portfolio training services to our students to help them prepare their portfolios.

Research-Based Learning Services. Our research-based learning services include overseas educational travel services, domestic educational travel services and other offline and online research-based learning services to students, mainly including academic educational learning, workshop experience, themed educational travel and other research-based learning programs.

Overseas Study Counselling Services. We offer art-related overseas study counselling services, including counselling advice on background development, university and program selection, paper writing, interview simulation and application preparation, to help students apply for overseas art universities and colleges.

In-school Art Classes. We partner with international schools to establish in-school art-related classes and provide professional art teachers and customized art course content in these partnerships.

Our Corporate History and Structure

History and Development of the Company

Our business began in 1999 with the establishment of ATA Testing Authority (Beijing) Limited in China, primarily engaged in computer-based testing service business.

In September 2006, we incorporated ATA Inc. in the Cayman Islands, which became our ultimate holding company in November 2006. We completed our initial public offering in 2008, with ADSs listed on the Nasdaq Global Market with the trading symbol of “ATAI”.

In 2018, we disposed of our computer-based testing service business by the sale of our subsidiary ATA Online (Beijing) Education Technology Co., Ltd.

In 2019, we completed the acquisition of 100% equity interests of Beijing Huanqiuyimeng Education Consultation Corp., or Huanqiuyimeng, a leading provider of educational services for students in China interested in applying for overseas art study, and in connection with such acquisition, we changed the name of our Cayman holding company from “ATA Inc.” to “ATA Creativity Global” and the trading symbol for our ADSs listed on Nasdaq from “ATAI” to “AACG.”

In May 2025, we transferred the listing of our ADSs from the Nasdaq Global Market to the Nasdaq Capital Market.

Corporate Structure

The Company is not a Chinese operating company but a Cayman Islands holding company with operations conducted primarily through its PRC subsidiary Huanqiuyimeng and its subsidiaries. The Company, through its wholly owned subsidiary ACG International Group Limited, or ACGIGL, holds 69.04% of the equity interests of Huanqiuyimeng. The Company also has the power to direct activities of the VIE through the WFOE and consolidates the VIE into its consolidated financial statements under U.S. GAAP. As of the date of this prospectus supplement, the VIE has no business operations of its own, but holds 30.96% equity interests in Huanqiuyimeng, and 70% equity interests in Beijing Zhenwu Technology Development Co., Ltd., or Beijing Zhenwu, a PRC company established in August 2021 for the purpose of developing and marketing our project-based learning services in the form of short-term art courses but has no business operations as of the date of this prospectus supplement. Other than holding equity interests in Huanqiuyimeng and Beijing Zhenwu, the VIE also holds minority investments in two PRC companies. Notwithstanding the foregoing, as we are currently considering expanding our online courses and other services, for which an internet content provision license, or ICP license, may be required under PRC law, we may elect to provide such services through the VIE in the future if and to the extent that an ICP license or any other license or permission not available for foreign-invested companies is required. The variable interest entity structure is a structure commonly used to provide contractual exposure to foreign investment in China-based companies where PRC law prohibits or restricts direct foreign investment in the related Chinese operating companies, and investors may never be able to directly hold equity interests in the VIE. This structure involves unique risks to investors, and PRC regulatory authorities could disallow our variable interest entity structure, which may result in a material change in our operations and/or value of our ADSs, including that it could cause the value of our ADSs to significantly decline or become worthless. The Company, through the WFOE, entered into a series of contractual arrangements with the VIE and its shareholders, including (i) powers of attorney under which we can exclusively exercise all rights of shareholders of the VIE; (ii) exclusive technical consulting and services agreement that allows us to have sole and exclusive right to provide specified technical and consulting services to the VIE and receive certain consulting fees from the VIE; (iii) call option and cooperation agreement and loan agreements that provide us with the option to purchase the equity interest in the VIE; and (iv) equity interest pledge agreements that guarantee the performance of the VIE and its shareholders’ obligations under the exclusive technical consulting and services agreement and the call option and cooperation agreement. Under U.S. GAAP, pursuant to such contractual arrangements, the Company has (i) the power, through the WFOE, to direct activities of the VIE that most significantly impact the economic performance of the VIE; and (ii) the obligation to absorb the losses and the right to receive benefits of the VIE that could potentially be significant to the VIE. As such, the Company is deemed to be the primary beneficiary of the VIE for accounting purposes and must consolidate the VIE. See “Item 4.A. History and Development of the Company — Contractual Arrangements with the VIE” in our 2024 Form 20-F. However, these contractual arrangements may be less effective in providing operational control than direct ownership as the VIE’s shareholders may fail to perform their obligations under the contractual arrangements and we could incur substantial costs in enforcing these contractual arrangements if we are able to enforce these contractual arrangements at all. Our rights under such contractual arrangements have not been tested in a court of law, and we cannot assure you that a court would enforce our contractual rights. Risks Related to Doing Business in China

There remain uncertainties regarding interpretation and implementation of Overseas Listing Trial Measures.

On February 17, 2023, the China Securities Regulatory Commission (the “CSRC”) promulgated the Trial Administrative Measures of Overseas Securities Offering and Listing by Domestic Companies (the

“Overseas Listing Trial Measures”) and the related guidelines, which became effective on March 31, 2023. The Overseas Listing Trial Measures regulate both direct and indirect overseas offering and listing by PRC domestic companies by adopting a filing-based regulatory regime. The Overseas Listing Trial Measures provide that if the issuer meets both of the following criteria, the overseas securities offering and listing conducted by such issuer will be deemed as indirect overseas offering subject to the filing procedure set forth under the Overseas Listing Trial Measures: (i) 50% or more of the issuer’s operating revenue, total profit, total assets or net assets as documented in its audited consolidated financial statements for the most recent fiscal year is accounted for by the issuer’s domestic companies; and (ii) the issuer’s business activities are substantially conducted in mainland China, or its principal place of business are located in mainland China, or the senior managers in charge of its business operations and management are mostly Chinese citizens or domiciled in mainland China. The determination as to whether or not an overseas offering and listing by domestic companies is indirect, shall be made on a substance over form basis.

According to the Overseas Listing Trial Measures, subsequent securities offerings of an issuer in the same overseas market where it has previously offered and listed securities shall be filed with the CSRC within 3 working days after the offering is completed. The Company shall file with the CSRC within 3 working days after the offering is completed and submit a report on the status of this offering to the CSRC after completion of all tranches of the issuance.

We plan to make the filing and submit the report in accordance with the requirements under the Overseas Listing Trial Measures. However, as there is uncertainty with respect to the filing requirements and implementation, we cannot assure you that we would be able to complete the filing procedures, obtain the approvals or complete other compliance procedures in a timely manner, or at all, or that any completion of filing or approval or other compliance procedures would not be rescinded. Any such failure would subject us to sanctions by the CSRC or other PRC regulatory authorities, which may include fines and penalties, restrictions on or prohibition of the payments or remittance of dividends by our subsidiaries in China, restrictions on or delays to the repatriation of the proceeds from future capital raising activities into China, restrictions on or delays to our future offering of securities, or other actions that could have a material and adverse effect on our business, financial condition, results of operations, reputation and prospects, as well as the trading price of our common shares. Accordingly, the value of your investment may be materially and adversely affected or become worthless.

There remain uncertainties regarding interpretation and implementation of Provisions on Strengthening Confidentiality and Archives Administration in Respect of Overseas Issuance and Listing of Securities by Domestic Enterprises.

On February 24, 2023, CSRC published the Provisions on Strengthening Confidentiality and Archives Administration in Respect of Overseas Issuance and Listing of Securities by Domestic Enterprises (the “Provisions”), which became effective on March 31, 2023 together with Overseas Listing Trial Measures. According to the Provisions, a domestic company that plans to, either directly or through its overseas listed entity, publicly disclose or provide to relevant entities or individuals including securities companies, securities service providers, and overseas regulators, documents and materials that contain state secrets or government work secrets, shall first obtain approval from competent authorities according to law, and file with the secrecy administrative department at the same level. Further, a domestic company that plans to, either directly or through its overseas listed entity, publicly disclose or provide to relevant entities or individuals including securities companies, securities service providers, and overseas regulators, other documents and materials that, if divulged, will cause adverse impact on national security or public interest, shall strictly fulfill relevant procedures stipulated by applicable national regulations.

Opinions remain unclear on how they will be interpreted and implemented by relevant PRC governmental authorities. While we have implemented policies and procedures with the intent to comply with the Provisions, we cannot ensure that we will be able to fully comply with the future interpretations and implementations of the Provisions. Domestic companies that fail to comply with the requirements under the Provisions in the course of their indirect overseas issuance and listing may be held legally liable by competent authorities or become subject to criminal penalties.

DILUTION

On September 30, 2025, we had a net tangible book value of US$-24.1 million (our total tangible assets minus our total liabilities), corresponding to a net tangible book value of US$-0.76 per ADS or US$-0.38 per common share (using the ratio of two common shares to one ADS). Net tangible book value per share represents the amount of our total tangible assets, minus our total liabilities, divided by the total number of our shares outstanding on September 30, 2025.

After giving effect to the sale by us of 11,067,547 ADSs in this offering at an offering price of US$0.8 per ADS and after deducting the estimated offering expenses payable by us of US$ 0.2 million, our estimated net tangible book value on September 30, 2025 would have been approximately US$-15.5 million, representing US$ -0.36 per ADS, or US$ -0.18 per common share. This represents an immediate increase in net tangible book value of US$ 0.40 per ADS, or US$ 0.20 per common share, to existing shareholders and an immediate dilution in net tangible book value of US$ 1.16 per ADS, or US$ 0.58 per common share, to new investors purchasing ADSs in this offering. Dilution for this purpose represents the difference between the price per ADS paid by these purchasers and net tangible book value per ADS immediately after the completion of this offering.
