Explanation of Responses:

1. The restricted stock units vest 1/3 per year on March 21, 2023, 2024 and 2025, subject to continued service with the Company.

2. This amendment is filed solely to correct the prior Form 4 to show that the restricted stock units were acquired by the reporting person.

3. Options vest 1/3 per year on the anniversary of the date of grant, subject to continued service with the Company.
