1. Sale of shares to cover tax withholding obligations associated with the vesting of the restricted stock unit award granted to the Reporting Person on February 27, 2022.

2. The price reported in Column 4 is an average weighted sales price. These shares were sold in multiple transactions at prices ranging from $.4114 to $.4501, inclusive.
