Explanation of Responses:

1. Represents shares of common stock withheld to satisfy the Reporting Person's tax liability from the vesting of restricted stock units previously granted to her.

2. Because the restricted stock units vested on a non-business day, the closing price of the Issuer's Common Stock on the New York Stock Exchange on the preceding day is used for purposes of computing tax reporting and withholding.

3. Of the 48,843 shares reported as directly held, 15,323 are restricted stock units (including dividend equivalent rights).
