Explanation of Responses:

1. This award of Restricted Stock Units ("RSUs") is granted under the Genprex, Inc. (the "Company") 2018 Equity Incentive Plan and vests in installments of 50% on the first anniversary of the date of grant and the remaining 50% on the second anniversary of the date of grant. Vested RSUs will be paid in shares of the Company's common stock, $0.001 par value ("Common Stock") on a one-to-one basis.

2. This total now excludes 10,000 shares of Common Stock that were previously reported as being purchased on March 29, 2018 and directly held by Reporting Person. The prior inclusion of these shares was inadvertent and due to an administrative error.
