Explanation of Responses:

1. This Form 4 reports securities disposed upon the effectiveness of the merger between Cimarex Energy Co. ("Cimarex") and Cabot Oil & Gas Corporation ("Cabot") on October 1, 2021, pursuant to the Agreement and Plan of Merger, dated May 23, 2021, as amended on June 29, 2021, by and among Cabot, Double C Merger Sub, Inc. and Cimarex (the "Merger Agreement"). At the effective time, each outstanding share of Cimarex common stock was converted into the right to receive 4.0146 shares of Cabot common stock.
