Explanation of Responses:

1. The Reporting Person tendered all of the Reporting Person's shares of Common Stock for, or at the effective time of the Merger Agreement (as defined below) the Reporting Person's shares of Common Stock were converted into the right to receive, a purchase price of $0.39 per share in cash from Unity AC 2, Inc. ("Purchaser"), a wholly-owned subsidiary of Unity AC 1, LLC ("Parent"), pursuant to the terms of that certain Agreement and Plan of Merger, dated July 24, 2022, by and among the Issuer, Purchaser and Parent. (the "Merger Agreement").

2. The total number of securities were held as a voting group pursuant to that certain Schedule 13D (as amended) filed with the SEC by: (i) Auto Holdings Ltd., a British Virgin Islands company; (ii) PF Auto, Inc. a British Virgin Islands company; (iii) Ceiba International Corp.; (iv) Jose Vargas; (v) Galeb3 Inc,; (vi) the Reporting Person; (vii) Manatee Ventures Inc., a British Virgin Islands company ("Manatee" see footnote (3)); (viii) John Peter Klose de Ojeda; (ix) Richard Aitkenhead Castillo; (x) Investment and Development Finance Corp., (xi) IDC Financial, S.A.; (xii) Juan Christian Klose Pieters; (xiii) Margarita Klose; (xiv) Jorge Miguel Fernandez Bianchi; (xv) PF Holdings, Inc.; and (xvi) People F, Inc.. The reporting person is a director and officer in each of the entities identified as (i), (ii), (vii), (xv) and (xvi) of the prior sentence.

3. Manatee is wholly owned by the Reporting Person and his wife Maria Isabel Ruiz Estrada. The Reporting Person is the sole director of Manatee and is responsible for the business and affairs of Manatee, including, without limitation, all voting rights with respect to Manatee's ownership in certain of the entities listed in footnote (2).
