Explanation of Responses:

1. Represents a grant of restricted stock units ("RSUs") under the Akili, Inc. 2022 Stock Option and Incentive Plan. Each RSU represents the contingent right to receive one share of the Issuer's common stock upon vesting and settlement. The RSUs underlying this grant shall vest in eight equal semiannual installments following the grant date, subject to the reporting person's continued service on each such vesting date.
