Explanation of Responses:

1. Options to purchase 15,000 shares vested on each of July 7, 2016, 2017, 2018 and 2019.

2. Represents a "net exercise" of outstanding stock options. The reporting person received 48,763 shares of common stock upon the net exercise of options to purchase 60,000 shares of common stock. The Company withheld 11,237 shares of common stock underlying the portion of the option exercised for payment of the exercise price, using the fair market value on May 16, 2022, of $11.106, pursuant to the terms of the Registrant's Amended and Restated 2013 Stock Incentive Plan. Exempt from Section 16 under Rule 16b-3.
