Explanation of Responses:

1. Represents 3,435 Deferred Stock Units ("DSUs") granted on November 1, 2021, pursuant to the Issuers Independent Director Compensation policy and the Issuer's 2021 Long Term Incentive Plan. The number of DSUs was determined by dividing the award value of $175,000 by $50.95 (the volume weighted average price of a share for the 30-trading day period ending on October 29, 2021, which shall vest one-third on January 1, 2022, one-third on April 1, 2022, and become fully vested on the date of the 2022 annual stockholder meeting.
