Explanation of Responses:

1. The ordinary shares are described under the heading "Description of Securities" in the Issuer's Registration Statement on Form S-1 (File No. 333-257459) (the "Registration Statement") and have no expiration date. On February 24, 2022, the Reporting Person transferred 3,652 ordinary shares to Chavant Capital Partners LLC, the sponsor of the Issuer, for no consideration.
