Explanation of Responses:

1. The securities reported herein are held of record by St. Albans Global Management, LLC ("Global"). After the transactions reported herein, Mr. Tony Novelly ceased to have beneficial ownership of these securities. As a result, (i) Mr. P.A. Novelly II, as the sole manager of SAGM Holdings, LLC ("SAGM"), which is the manager of Global, and (ii) SAGM may be deemed to share beneficial ownership of the securities held of record by Global. Subsequent to the filing of this report, Global, Mr. P.A. Novelly II and SAGM intend to jointly report beneficial ownership of the securities reported herein.
