Explanation of Responses:

1. On November 9, 2020, Bonanza Creek Energy, Inc., a Delaware corporation ("Bonanza Creek"), Boron Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Bonanza Creek ("Merger Sub"), and HighPoint Resources Corporation, a Delaware corporation ("HighPoint"), entered into an Agreement and Plan of Merger, providing for Bonanza Creek's acquisition of HighPoint through the merger of Merger Sub with and into HighPoint (the "Merger"), with HighPoint continuing its existence as the surviving company and a wholly owned subsidiary of Bonanza Creek following the Merger.
