1. Represents restricted stock units that are to be settled solely in shares of Common Stock. The units vest with respect to 50% of the shares on April 5, 2023 and with respect to the remaining 50% on April 5, 2024, so long as the recipient continues as a director of the Issuer through each such respective vesting date.
