Explanation of Responses:

1. Consists of restricted stock units which were granted on February 28, 2022 and vest as follows: 50% will vest on March 12, 2024 and the remaining 50% will vest in two equal installments on each of March 12, 2025 and March 12, 2026, subject to the Reporting Person's continuous service with the Issuer through each applicable vesting date.

2. Option vests as follows: 50% will vest on March 12, 2024 and the remaining 50% will vest in two equal installments on each of March 12, 2025 and March 12, 2026, subject to the Reporting Person's continuous service with the Issuer through each applicable vesting date.
