Explanation of Responses:

1. Represents a grant of restricted stock units ("RSUs") under the Applied Genetic Technologies Corporation ("AGTC") 2013 Equity and Incentive Plan. Each RSU represents the contingent right to receive, upon vesting of the unit, one share of AGTC common stock. The RSUs vest in two installments, with 75% vesting on June 30, 2022 and the remaining 25% vesting on December 31, 2022, subject to the Reporting Person's continued employment with or performance of services for the Company as of each vesting date.
