2. Each American Depositary Share ("ADS") currently represents twenty (20) Ordinary Shares of the Issuer.

3. Reported securities purchased in the private placement transaction as one ADS and one-tenth of one warrant (each whole warrant exercisable to purchase one ADS) for a combined price of $17.3509 per unit.

4. These securities are held of record by Rivendell Investments 2017-9 LLC. The Reporting Person is the beneficial owner of Rivendell Investments 2017-9 LLC and has sole voting and investment power over the securities held by Rivendell Investments 2017-9 LLC.
