Explanation of Responses:

1. Represent the restricted stock unit award ("RSU") granted to the Reporting Person, pursuant to an RSA agreement with the Issuer. The shares will vest in two equal installments with 50% vesting on the first anniversary of September 30, 2022, and the remaining 50% vesting on the second anniversary of September 30, 2022, subject to the Reporting Person's continued service to the Issuer through the applicable vesting dates.
