1. Represents a "net exercise" of outstanding stock options. These shares were withheld by Champions Oncology, Inc. for payment of the exercise price based on the market price of Champions Oncology, Inc. common stock on March 23, 2021.

2. The options vest and are exercisable over a four month period, with vesting to occur on May 1, 2016 and August 1, 2016, respectively.
