Explanation of Responses:

1. Shares issued as a retention bonus at current market rate of $0.63

2. RSUs vest in four equal tranches of 255,000 shares on 9/15/22, 9/15/23, 9/15/24 and 9/15/25 on a one for one basis at the market rate of the underlying common stock on the vesting date.

3. RSUs automatically convert to common stock on the vesting date of the RSU.

4. Price of RSU corresponds to the market price of the common stock, which was $0.63 per share on 9/15/22.
