Explanation of Responses:

1. Represents the vesting of Phantom Units which are settled in cash pursuant to the terms of the applicable award agreement.

2. Each phantom unit is the economic equivalent of one common unit of USDP and settles in cash on the vesting date pursuant to the terms of the applicable award agreement. The phantom units vest on the one-year anniversary of the grant date.

3. Includes 13,136 phantom units which vested on February 16, 2022.

Remarks:

The Reporting Person is a director of USD Partners GP LLC, the general partner of the Issuer (the "General Partner"). The Issuer is managed by the directors and executive officers of the General Partner.
