Explanation of Responses:

1. Represents vesting of one-fourth of the restricted stock units granted on May 16, 2019 in respect of consulting services provided to the Company by Mr. Odell. The balance of the award is scheduled to vest on May 15, 2023. Each unit converts into a share of common stock on a one-for-one basis.
