1. These shares are held by the Reporting Person's spouse.

2. This option was granted on November 10, 2017 under the Oyster Point Pharma, Inc. 2016 Equity Incentive Plan. One forty-eighth of the total number of shares subject to the original option vested on December 1, 2017, and one forty-eighth of the remaining shares vested, and continue to vest, monthly thereafter, subject to continued service to the Issuer through each such vesting date. The award is subject to vesting acceleration under certain circumstances.
