Explanation of Responses:

1. The 245.3861 shares were acquired under a qualified dividend reinvestment plan from November 26, 2018 to the filing of this Form 4.

2. The shares of the Issuer were disposed of in exchange for shares of PIMCO Dynamic Income Fund ("PDI") in connection with the reorganization of the Issuer with and into PDI based on PDI's and the Issuer's respective net asset value per share at the time of the closing of such reorganization, which resulted in an exchange ratio of 0.818509.

SEC Form 4: Nagler Jason Jordan returned 998 shares to the company
