Explanation of Responses:

1. The 10,661 shares of Class A Common Stock are represented by 10,661 restricted stock units ("RSUs") granted under the BGC Partners, Inc. Eighth Amended and Restated Long Term Incentive Plan. Each RSU represents a contingent right to receive one share of Class A Common Stock. Of the 10,661 RSUs, 5,331 RSUs will vest on November 22, 2022 and 5,330 RSUs will vest on November 22, 2023, provided that the reporting person continues to serve as a member of the Board of Directors of the Issuer on such dates.

2. Includes 8,711 RSUs granted on June 11, 2020, all of which will vest on June 11, 2022, provided that the reporting person continues to serve as a member of the Board of Directors of the Issuer on such date.
