Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock upon vesting of the unit. The shares issuable in respect of such RSUs shall vest with respect to 25% of the shares of common stock on each of the one, two, three and four-year anniversaries of February 28, 2022, subject to the Reporting Person's continuous service with the Issuer as of the applicable vesting date.
