1. These restricted stock units ("RSUs") convert to V2X, Inc. common stock on a one-for-one basis.

2. These RSUs were granted on July 5, 2022 and vest as follows: (a) 1/4 will vest on the six-month anniversary of the grant date, (b) 1/4 will vest on the one-year anniversary of the grant date, (c) 1/4 will vest on the eighteen-month anniversary of the grant date, and (d) 1/4 will vest on the two-year anniversary of the grant date.
