Explanation of Responses:

1. Except in the case of the reporting person's earlier involuntary termination, death, or disability, or upon an earlier change of control of the issuer, the restricted common stock shall vest in full at the close of business on June 9, 2024 (the two-year anniversary of the grant date). In the event of a voluntary termination by the reporting person prior to the vesting date, all restricted stock will be forfeited.
