The reporting person undertakes to provide Cineverse Corp., any security holder of Cineverse Corp. or the staff of the SEC, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

2. The reporting person is a trustee of the Christopher and Jamie McGurk Living Trust.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $1.165 to $1.37, inclusive. The reporting person undertakes to provide Cineverse Corp., any security holder of Cineverse Corp. or the staff of the SEC, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
