Explanation of Responses:

1. Securities listed as beneficially owned do not include shares held by Rabbi Trust in the Issuers amended and restated directors deferral plan in which the reporting person is a participant.

2. Represents shares granted to the reporting person under the terms of the Select Bancorp, Inc. 2018 Omnibus Stock Incentive Plan. Pursuant to the amended and restated directors deferral plan, the reporting person has elected to defer receipt of the shares until the reporting persons separation from service as such term is defined in Internal Revenue Code Section 409A(a)(2)(A)(i) and applicable regulations and other guidance thereunder.

3. The option vests in five equal annual installments beginning on September 6, 2018.

SEC Form 4: Mccauley John W exercised 5,600 shares at a strike of $11.27, increasing direct ownership by 16% to 39,950 units
