Explanation of Responses:

1. Represents an award of restricted stock units ("RSUs") granted to the Reporting Person that may be settled only for shares of common stock on a one-for-one basis. The RSUs will vest on August 1, 2023, so long as the Reporting Person continuously provides services to the Issuer through such vesting date. Pursuant to the Reporting Person's election under the award agreement, settlement of vested RSUs has been deferred until the earliest to occur of the termination of the Reporting Person's relationship with the Issuer or July 12, 2031.
