Explanation of Responses:

1. Reflects fully vested deferred stock units issued to the Reporting Person under the Issuer's Directors Deferral Plan (the "Plan") in lieu of cash compensation at the closing trading price on December 31, 2021. The shares subject to these units will be issued to the Reporting Person at a future date in accordance with the terms of the Plan and the Reporting Person's plan election.
