Explanation of Responses:

1. These securities were transferred by the reporting person to its parent corporation, Franklin Resources, Inc., for no consideration. Future filings under section 16 of the Securities Exchange Act with respect to the issuer will be made by Franklin Resources, Inc. on behalf of itself and/or its subsidiaries.

2. Includes 84,158.416 shares of Class I Common Stock purchased by the filer on 3/13/2020 for $10.10 per share. The transaction was not reported previously but the shares were included in the total shares held by the filer on subsequent reports.

3. Legg Mason, Inc.("Legg Mason") owned 5,148,181.467 shares in the aggregate among four share classes. Specifically, Legg Mason owned 5,223.242 Shares of Class S Shares, 5,232.408 Shares of Class T Shares, 5,250.651 Shares of Class D Shares and 5,132,475.166 Shares of Class I Shares.
