Explanation of Responses:

1. Consists of restricted stock units which were granted on May 19, 2022 and vest as follows: 50% will vest on May 16, 2024 and the remaining 50% will vest in two equal installments on each of May 16, 2025 and May 16, 2026, subject to the Reporting Person's continuous service with the Issuer through each applicable vesting date.
