Explanation of Responses:

1. Pursuant to the Memorandum of Understanding between the Issuer and Tahoe Bidco (Cayman), LLC dated March 10, 2021, the restricted stock units, or RSUs, were cancelled and replaced with the right to receive the cash replacement RSU amount. Payments in respect of the cash replacement RSU amount will be subject to the terms of the unvested RSUs for which they were exchanged and will become payable when the vesting conditions with respect to such exchanged unvested RSUs are satisfied.

2. The Ordinary Shares may be represented by American Depositary Shares, each of which currently represents one Ordinary Share.
