Explanation of Responses:

1. Represents restricted stock units that are to be settled solely in shares of Common Stock. The units vest with respect to 100% of the shares on the earlier of: (i) August 17, 2024 or (ii) one business day prior to the date of the 2024 Annual Meeting of Stockholders.

2. The reporting person also holds 218,728 shares indirectly by the Peter H. Kamin Revocable Trust dated February 2003, 146,998 shares indirectly by the Peter H. Kamin Childrens Trust dated March 1997, and 44,980 shares indirectly by 3K Limited Partnership. The reporting person disclaims beneficial ownership of these Securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for Section 16 or any other purposes.
