Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award. Each RSU represents a contingent right to receive one share of the Issuer's common stock. One-half (1/2) of the RSUs shall vest on November 4, 2024 and the remaining RSUs shall vest in two (2) equal annual installments thereafter, subject to the Reporting Person's continuous service through each such vesting date.

2. One-fourth (1/4th) of the shares subject to the option vest on November 4, 2023, and the remaining shares subject to the option shall vest in thirty-six (36) equal monthly installments thereafter, subject to the Reporting Person's continuous service through each such vesting date.
