Represents shares withheld by the Issuer in connection with the reporting person's net share settlement to satisfy tax liability based upon the vesting of 21,961 restricted stock units ("RSUs") granted to the reporting person on September 13, 2021. The reporting person sold no shares to satisfy this tax liability.
