Explanation of Responses:

1. The number of securities beneficially owned following the reported transaction does not include: 2,439 shares of Class A Common Stock issuable in connection with a performance-based RSU award granted on December 6, 2016 that became earned on December 4, 2019 and pursuant to which the reporting person has made an election to defer receipt of the of these shares for a five year period.

2. Represents shares of Class A Common Stock issuable in connection with a performance-based RSU award granted on December 4, 2018 that became earned on December 7, 2021.

3. Represents a grant of shares of Class A Common Stock all of which vest on the fourth anniversary of the date of grant (i.e., 12/7/25).
