Explanation of Responses:

1. Disposed of pursuant to the Agreement and Plan of Reorganization between Virginia National Bankshares Corporation ("Virginia National") and the issuer, dated September 30, 2020 (the "Merger Agreement"), pursuant to which the issuer was merged with and into Virginia National effective April 1, 2021 (the "Merger"). Pursuant to the Merger, each issued and outstanding share of common stock of the issuer was converted into 0.675 shares of Virginia National common stock, with cash paid in lieu of fractional shares. As a result of the Merger, the reporting person no longer beneficially owns directly or indirectly any shares of common stock of the issuer.
