Explanation of Responses:

1. Pursuant to a Deferred Compensation Agreement between the reporting person and the issuer, on the date on which a portion of the reporting person's compensation has been deferred, the issuer accrued the number of shares indicated. The number of shares of common stock accrued represents the quotient of (i) the portion of compensation deferred divided by (ii) the fair market value per share of the issuer's common stock on the indicated date (equal to the closing price reported on the OTCQB on such date). These shares will be delivered to the reporting person during the first quarter of 2024.
