1. The price listed is an average weighted price. The shares reported herein were sold in multiple transactions at prices ranging from $1.56 to $1.591, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

2. Due to a clerical error, Mr. Hoffman's Form 4 filed on January 27, 2023 inadvertently reflected a transaction code of "S" instead of "A" to reflect that the shares were acquired. All other information set forth in the January 27, 2023 Form 4 was correct.
