Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs") under the Issuer's 2020 Equity Incentive Plan as approved by the Compensation Committee of the Board of Directors. Each RSU represents a contingent right to receive one share of Issuer's Class 1 Common Stock. The RSU's are subject to a three-year vesting schedule, with 1/3rd of the RSU's vesting on each anniversary of the Vesting Commencement Date, or February 1, 2022, subject to the Reporting Person's Continuous Service (as defined in the 2020 Equity Incentive Plan) through each vesting date.

SEC Form 4: Herning Andrew J was granted 40,988 units of Class 1 Common Stock, increasing direct ownership by 95% to 83,967 units
