Explanation of Responses:

1. In connection with the Company's 2020 Annual Meeting of Stockholders, pursuant to the Company's Second Amended and Restated Director Compensation Plan, as amended, option vested and became exercisable in 12 consecutive, equal monthly installments commencing on December 11, 2020 until fully vested and exercisable on the 12 month anniversary of November 11, 2020, provided that the Reporting Person remained a member of the Board of Directors of the Issuer on each vesting date.
