Explanation of Responses:

1. Represents a grant of Restricted Stock Units ("RSUs"), which will be settled in shares of the Issuer's common stock upon vesting. All of the RSUs will vest on June 8, 2026, subject to the Reporting Person's continued service to the Issuer. The RSUs represent an award under the Reporting Person's Quarterly commission program. As the RSUs reflect awards that would otherwise be payable to the Reporting Person in immediately payable cash under such quarterly commission program, all of the RSUs will vest on June 8, 2026, subject to the Reporting Person's continued service to the Issuer.

2. Held directly by a limited liability company of which the Reporting Person is the sole member.
