Explanation of Responses:

1. Restricted stock units convert into common stock on a one-for-one basis.

2. The restricted stock units vest on the earlier of July 26, 2024 or the date of the 2024 Annual Stockholders meeting. Ms. Wolberg elected to defer the receipt of the vested shares until the date she ceases to be a director of CalAmp, pursuant to the Company's Non-qualified Deferred Compensation Plan.
