Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of Marrone Bio Innovations, Inc. common stock.

2. Restricted stock units granted as compensation for serving on committees vest with respect to 100% of the total shares subject to the grant on April 6, 2022. Vested shares will be delivered to the reporting person upon the earlier of the reporting person's separation of service with the Company or immediately prior to a change in control event.

3. Restricted stock units granted as compensation for serving on the board vest with respect to 100% of the total shares on April 6, 2023, with pro rata vesting based on days elapsed since grant in event of a change in control event prior to that date. Vested shares will be delivered to the reporting person upon the earlier of the reporting person's separation of service with the Company or immediately prior to a change in control event.
